Terms of Service

1. Introduction

These Terms of Service (the "Terms") govern your access to and use of the website, cloud telephony platform, and related software provided by Voipe Telecom Ltd. ("Voipe", "we", "us", or "our"), including the VoIPe for ZOHO integration described in Section 4. By accessing the website, creating an account, or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Definitions

  • "Services" — all services offered by Voipe, including cloud PBX, call center, AI voice agent, real-time analytics, reporting, and the VoIPe for ZOHO integration.
  • "Customer" or "you" — any person or entity that accesses the website or uses the Services.
  • "Integration" — the VoIPe for ZOHO connector, which links the Voipe cloud phone system with your Zoho account through the Zoho PhoneBridge framework.
  • "Customer Data" — call recordings, call detail records (CDRs), call metadata, contacts, configuration, and any information you enter or that is generated through your use of the Services.

3. Use of the Services

3.1 Eligibility and Accounts

The Services are intended for business use. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use.

3.2 Prohibited Use

You may not use the Services:

  • for any unlawful or unauthorized purpose;
  • to transmit malware, viruses, or malicious code;
  • to perform mass automated dialing (robocalling) or unsolicited spam calls;
  • to record or intercept communications unlawfully;
  • to overload, disrupt, or impair the Services for other customers.

4. VoIPe for ZOHO Integration

The Integration connects your Voipe cloud phone system to your Zoho account using the Zoho PhoneBridge framework. Once enabled, it provides screen-pop on inbound calls, click-to-call from your Zoho records, and automatic call logging.

  • Documented integration: The Integration is a documented integration built on the Zoho PhoneBridge API. Zoho is a trademark of its respective owner; Voipe is an independent provider and is not affiliated with, endorsed by, or a reseller of Zoho.
  • Third-party terms: Your use of Zoho products remains subject to your separate agreement with Zoho. We are not responsible for the availability, changes, or discontinuation of the Zoho PhoneBridge framework or any Zoho service.
  • Data flow: When enabled, the Integration transmits call-related data (such as caller number, call metadata, recording links, and call outcomes) between the Voipe platform and your Zoho account. This flow, the roles of the parties, and retention are described in our Privacy Policy.
  • Customer configuration: You are responsible for configuring the Integration, granting the necessary permissions in your Zoho account, and ensuring your use complies with applicable law.

5. Service Level (SLA)

Voipe targets a monthly service availability of 99.9%, calculated as: (total minutes in the month − downtime minutes) / total minutes in the month × 100.

  • Remedy: For each 0.1% below 99.9%, a service credit of 10% of the monthly fee applies, up to a maximum of 30% of the monthly fee.
  • Exclusions: scheduled maintenance (with at least 48 hours' notice), force majeure, and issues caused by the Customer or third-party services (including the Zoho PhoneBridge framework).
  • Service credits are the sole and exclusive remedy for failure to meet the availability target.

6. Fees and Payment

  • Integration pricing: The VoIPe for ZOHO integration is offered at ₪149 / month, or ₪119 / month on an annual plan. Prices are exclusive of VAT, which is added at the statutory rate.
  • Billing cycle: monthly or annual, according to the selected plan.
  • Payment methods: credit card, standing order, or bank transfer.
  • Late payment: the Service may be suspended following 14 days' notice of an unpaid balance.
  • Price changes: at least 30 days' advance notice before any change.

7. Data Ownership and Processing

  • You retain full ownership of your Customer Data (call recordings, CDRs, contacts, and configuration).
  • Voipe processes Customer Data solely to provide the Services, acting as a data processor on your behalf. Where you are yourself a processor for your end customers, Voipe acts as a sub-processor.
  • Data export is available in standard formats: CDRs (CSV / JSON), recordings (WAV / MP3), and contacts (vCard / CSV).
  • Upon termination, Customer Data is available for export for 30 days and is then deleted, except where retention is required by law. A dedicated Data Processing Agreement (DPA) is available to enterprise customers.

8. Acceptable Use and Telephony Regulation

  • No unlawful recording or interception; you are responsible for obtaining any consent required to record calls under applicable law.
  • No robocalling, spam calling, or breach of applicable do-not-call rules.
  • Emergency calls: Voipe VoIP services may not support emergency calls. You acknowledge this limitation and must maintain alternative means of reaching emergency services.

9. Intellectual Property

All content, software, design, logos, and code that make up the website and the Services are the exclusive property of Voipe or its licensors. You may not copy, reproduce, distribute, or commercially exploit them without our prior written consent. You retain all rights in your Customer Data.

10. Warranties and Disclaimers

The website and, except as expressly stated in the SLA, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. Beta or preview features are provided without any SLA.

11. Limitation of Liability

To the maximum extent permitted by law, Voipe's total aggregate liability is limited to the amounts paid by the Customer in the 12 months preceding the event giving rise to the claim. Voipe shall not be liable for indirect, special, consequential, or punitive damages. These limitations do not apply to damages caused by willful misconduct or gross negligence, breach of confidentiality, IP infringement indemnity, personal injury or death, or to rights that cannot be limited under applicable law.

12. Term and Termination

  • Termination by Customer: with 30 days' prior notice.
  • Immediate termination: we may suspend or terminate the Services immediately in the event of a material breach of these Terms.
  • Effect of termination: 30 days for data export; deletion thereafter, subject to legal retention requirements.

13. Force Majeure

Neither party is liable for failures or delays caused by events beyond its reasonable control, including natural disasters, war, terrorism, carrier or internet infrastructure failures, number-porting failures, regulatory changes, or widespread power outages. The affected party shall notify the other and take reasonable steps to mitigate.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to conflict of law rules. The competent courts of Tel Aviv-Yafo, Israel, shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services. Before litigation, the parties will attempt in good faith to resolve any dispute through negotiation and, if unsuccessful, mediation.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on the website and take effect 30 days after notice. Continued use of the Services after the notice period constitutes acceptance of the updated Terms.
